Nexfibre is the UK wholesale full-fibre joint venture between InfraVia Capital Partners (50%) and Opal Holdco (Liberty Global + Telefónica via their Virgin Media O2 ownership, 50%), building a national FTTP wholesale network targeting up to 8 million UK premises by end of 2027 to compete directly with BT Openreach. Registered as Nexfibre Networks Limited (Companies House 12175177, trading from 2019 with earlier incarnations as Liberty Fibre / Liberty Networks / Virgin Networks) at Floor 4, 50 Eastbourne Terrace, London W2 6LG, the business operates as a wholesale-only infrastructure operator. On 18 February 2026 nexfibre announced agreement to acquire Substantial Group (Netomnia, YouFibre, Brsk) for £2bn; nexfibre retains the Netomnia wholesale network and onward-sells the YouFibre and Brsk retail brands to Virgin Media O2 for £150m, funded by £1bn of new money from InfraVia (£850m), Liberty Global (with Telefónica, £150m jointly), and VMO2 receiving £1.1bn cash plus 15% stake in exchange for wholesale traffic commitment on 4.6m overlapping/adjacent homes (closing expected Q3 2026 subject to regulatory approval).
